Terms & Conditions

1. Acceptance of Terms By engaging ZeroBusyWork and Michael Parkin ("The Architect") for services, including Audits, Sprints, or Retainers, you agree to be bound by these terms. These terms apply to all automation architecture, engineering, and consulting services provided.

2. Nature of Services We provide Revenue Operations engineering, including:

  • System Architecture: Designing data flows and logic maps.

  • Implementation: Building automations in third-party tools (Zapier, Make, n8n) and writing custom code (Python/JavaScript).

  • Advisory: Auditing existing stacks and providing strategic roadmaps.

3. Software & Subscriptions (Critical) Unless explicitly stated otherwise, the Client is responsible for all software subscription fees (e.g., Zapier, HubSpot, OpenAI API credits). The Architect builds inside the Client’s accounts. You agree to provide necessary access/API keys to facilitate the build.

4. Intellectual Property & Ownership We believe in zero vendor lock-in.

  • Work for Hire: Upon full payment, you own 100% of the Intellectual Property, including specific logic flows, Zaps, and custom scripts created for your project.

  • No License Fees: We do not charge ongoing licensing fees for the code we write.

  • Portfolio Rights: We reserve the right to display anonymized versions of the work (e.g., architecture diagrams) in our portfolio unless a Non-Disclosure Agreement (NDA) is signed.

5. Reliance on Third-Party APIs (The "Resilience" Clause) Our architectures are built on third-party platforms (e.g., OpenAI, Meta, Google).

  • Uptime: While we build "Resilience Layers" to handle errors, we are not liable for downtime, API deprecations, or breaking changes caused by third-party providers.

  • Maintenance: Fixes required due to third-party API changes after the project handoff are billable under a Retainer or separate support agreement.

6. Confidentiality & Data Security We treat your data as an asset.

  • We will not share your revenue data, customer lists, or trade secrets with third parties.

  • We adhere to standard security practices (HMAC verification, encrypted webhooks) but cannot guarantee absolute immunity from cyber-attacks on third-party platforms.

7. Payments & Cancellations

  • Project Sprints: 50% deposit required to commence work; 50% upon deployment.

  • Retainers: Billed monthly in advance. Cancellations require 30 days' written notice.

  • Audits: 100% upfront payment required to book a diagnostic slot.

8. Limitation of Liability Our liability is limited to the total amount paid for the specific project or month of service. We are not liable for consequential damages, lost profits, or data loss caused by user error or third-party platform failures.

9. Governing Law These terms are governed by the laws of the United States.
